Effective date: 19 July 2026 (interim — pending final legal review)
This Seller Agreement is between you (the "Seller") and Panel Parts. It applies in addition to the Terms of Service. Terms defined in the Terms of Service have the same meaning here.
1. Becoming a Seller
1.1 To list parts on Panel Parts, you must:
(a) hold a current Australian Business Number (ABN) that is registered and active for a panel shop as defined in clause 3.1A of the Terms of Service (ANZSIC 9411 or, at Panel Parts' discretion following review, ANZSIC 9419 where the business's trade includes panel and paint work);
(b) provide accurate business name, ABN, principal place of business, self-declared shop type, and a working contact phone number for buyer enquiries;
(c) agree to these Seller terms and the Terms of Service; and
(d) pay the monthly subscription fee (see clause 6).
1.1A Every Seller registration is manually reviewed by Panel Parts before activation. We check the ABN against the Australian Business Register, we may check the declared shop type against publicly available information about your business, and we may ask you for supporting documentation (e.g. a certificate of currency for panel-repair insurance, a photo of your workshop signage) before activating your account. This review protects the network from misuse.
1.2 We check your ABN against the Australian Business Register. If your ABN is cancelled, suspended, or reassigned, you must tell us within 7 days. If we discover it independently, we may suspend your account until you sort it out.
2. Your ABN warranty
2.1 You warrant that:
(a) the ABN you supply is genuinely yours (or your business's) and is currently active;
(b) you have the legal right to sell the parts you list;
(c) you are registered for GST if the law requires it, and you'll handle GST invoicing to buyers correctly; and
(d) you are trading lawfully in your state or territory, including any panel-repair, insurance-repair, or motor-vehicle-industry licensing that your state requires.
2.2 We don't hold a licence for you and we can't advise you on your licensing obligations. That's on you.
3. Listings — your obligations
3.1 Every listing you post must:
(a) accurately describe the part — make, model, year of donor vehicle where relevant, condition, mileage where relevant, any damage, any missing components;
(b) include at least the minimum number of photos we require (currently three), taken by you, showing the actual part being sold (not a stock photo);
(c) state whether the part is genuine OEM, genuine used, aftermarket, reproduction, or of unknown origin;
(d) state the price (or "POA" if you take enquiries first), and whether GST is included;
(e) comply with the Restricted Items rules in the Terms of Service clause 5;
(f) not contain misleading or deceptive claims (this is a serious point — under s18 of the Australian Consumer Law, misleading conduct in trade or commerce is unlawful, and you can be personally liable);
(g) not contain contact details of other platforms (no "cheaper on Facebook Marketplace" — you can list on other platforms, just don't advertise them here);
(h) not contain profanity, discriminatory language, or unrelated content.
3.2 You are responsible for the accuracy of every listing. We may edit or remove a listing that appears to breach these rules, without telling you first.
4. Prohibited items
4.1 You must not list any item prohibited under clause 5 of the Terms of Service (stolen parts, non-genuine sold as genuine, recalled parts, tampered-VIN parts, etc.).
4.2 Listing prohibited items is grounds for immediate termination without refund, and where the law requires, referral to police or other authorities.
5. Your responsibilities to buyers under Australian Consumer Law
5.1 This is important. When you sell a part to a buyer through Panel Parts, you are the supplier. That means:
(a) the ACL consumer guarantees (acceptable quality, fitness for disclosed purpose, matching description) apply to the sale between you and the buyer;
(b) you must not engage in misleading or deceptive conduct or make false representations about the part;
(c) if you sell to a "consumer" as defined in the ACL (which includes many B2B sales under $100,000 or of goods ordinarily acquired for domestic use), the buyer has non-excludable statutory rights against you;
(d) even in pure B2B sales, common law and contract principles still bind you.
5.2 Panel Parts is not the supplier of the parts. We don't pick up your ACL obligations.
5.3 We strongly recommend you publish your own returns / warranty policy on your seller profile so buyers know what they're getting.
6. Subscription fee, billing, refunds
6.1 The fee to list on Panel Parts is $50 per month (inc GST), month-to-month.
6.2 The fee is charged in advance from the date your account is activated, and each month on the same billing date, using the payment method on file (Stripe, from launch onwards; interim manual arrangements will be documented separately).
6.3 The subscription is month-to-month with auto-renew. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current paid month — you keep your listings live until then. We don't pro-rata refund partial months.
6.4 First-month cooling-off refund: If you cancel within 7 days of first subscribing and you haven't posted any listings that received a buyer enquiry, you can request a full refund of your first month's fee. Contact us in writing. This is a one-time right per Seller — it applies to your first month only, not to any later month or any resubscription.
6.5 If your payment fails, we'll retry the charge and notify you. If it's not resolved within 14 days, your listings will be hidden and your account paused until payment is made.
6.6 We may change the fee on 30 days' notice by email. If you don't want to pay the new fee, cancel before it takes effect.
7. Suspension and termination
7.1 We can suspend or terminate your Seller account:
(a) immediately, for breach of the Terms of Service, this Seller Agreement, or the law;
(b) immediately, for repeated buyer complaints where, in our reasonable view, there's a pattern of misdescription, non-delivery, or bad-faith conduct;
(c) immediately, if your ABN is cancelled or your business ceases to trade in the automotive parts space;
(d) on 14 days' notice, at our convenience.
7.2 If we terminate for cause under 7.1(a)–(c), we don't refund any part of the current month's fee.
7.3 If we terminate at our convenience under 7.1(d), we refund a pro-rata share of the current month's fee for the days after termination.
7.4 On termination, your listings come down. Your account data is retained per our Privacy Policy.
7.5 Appeal process. If we suspend or terminate your account under 7.1(a)–(c), you may lodge a written appeal:
(a) you have 14 days from the date of the suspension/termination notice to send your written appeal to the address in our notice, setting out why you believe the decision should be reviewed and providing any supporting evidence;
(b) the operator will review your appeal and respond in writing within 14 days of receipt;
(c) the operator's decision on appeal is final. There is no further internal escalation. This does not affect any rights you may have at law.
7.6 An appeal does not automatically pause the suspension. Listings remain down while the appeal is under review, unless we tell you otherwise in writing.
8. Disputes with buyers — our role
8.1 Panel Parts is a facilitator. We are not a party to your transactions with buyers.
8.2 If a buyer contacts us with a complaint about you, we may:
(a) forward the complaint to you and ask for a response;
(b) record the complaint against your account;
(c) decline to intervene beyond that.
8.3 We don't mediate, adjudicate, refund, or compensate for buyer-seller disputes. Sort it out with the buyer directly, or through your own commercial or legal channels.
8.4 A pattern of unresolved complaints, in our sole reasonable view, can lead to suspension or termination under clause 7.
9. Contact details visibility — per-listing consent
9.1 Phone-number visibility on Panel Parts is per-listing opt-in, not a blanket account-level rule. For each listing you create, you tick a "show my phone number on this listing" box to make your nominated number visible to logged-in buyers on that listing.
9.2 If you don't tick the box on a given listing, your phone number is not displayed on that listing, and buyers must contact you through the Platform's messaging channel (or any other method you enable).
9.3 You can change the per-listing phone-visibility setting at any time from the listing's edit screen. The change takes effect immediately for that listing.
9.4 You must not divert or redirect any number you make visible to a service unrelated to the Platform (e.g. a competitor marketplace's call centre).
9A. Marketing copy — prohibited claims
9A.1 To keep the Platform clear of misleading conduct risk under s18 of the Australian Consumer Law, you must not use, in any listing description, listing title, seller profile bio, images with overlaid text, or any content you upload to the Platform, the following phrases (or any phrase substantially the same in meaning):
(a) "verified seller" / "Panel Parts verified" / "verified by Panel Parts";
(b) "guaranteed genuine" / "100% genuine guaranteed";
(c) "safe parts" / "guaranteed safe" / "Panel Parts approved";
(d) any phrasing that implies Panel Parts has independently inspected, tested, endorsed, or certified the part or the seller.
9A.2 Panel Parts does not inspect parts, does not verify seller claims beyond ABN checks, and does not endorse any seller. Presenting the Platform as if it does is misleading and exposes both the Seller and Panel Parts to ACL liability.
9A.3 The same prohibition applies to any off-Platform marketing you run that references Panel Parts (e.g. a Facebook post linking to your Panel Parts listings). You may say you list on Panel Parts. You may not say Panel Parts has verified, guaranteed, or approved you or your parts.
10. Your data, your listings
10.1 You keep ownership of your listing content. Clause 6 of the Terms of Service (licence to Panel Parts) applies.
10.2 If you cancel, we may retain anonymised or aggregate transactional data for reporting and audit purposes.
11. Warranties and indemnity from you
11.1 In addition to the indemnity in the Terms of Service, you specifically indemnify Panel Parts against any claim, loss, cost, or damage arising from:
(a) a buyer's claim about a part you sold;
(b) a claim by any third party that a part you listed was stolen, unsafe, counterfeit, or infringed IP;
(c) any ACL, tax, or licensing breach by you.
12. General
12.1 This Seller Agreement is governed by the laws of New South Wales, Australia. (The Australian Consumer Law is Commonwealth legislation and applies nationally regardless.)
12.2 If any clause is unenforceable, the rest still applies.
12.3 We can update this Seller Agreement on 30 days' notice by email. Continuing to list on the Platform after that date means you accept the update. If you don't accept, cancel before it takes effect.
